Sophie Cuthbertson is the Managing Partner of Cadwalader’s Washington, D.C. office and advises banks, non-bank financial institutions, fintech and other loan originators, private equity sponsors, corporate borrowers, fund managers and alternative finance providers on complex structured finance and lending transactions and the formation of, and investment in, private investment funds. She focuses on helping clients structure and execute innovative financing and investment solutions across a range of asset classes and products.
Her practice includes advising originators, issuers, underwriters, lenders, borrowers, hedge funds, private equity funds and investors on public and private securitizations, unsecured public note offerings, asset-based lending and other financings, and whole loan and forward-flow asset purchases and sales. Sophie has extensive experience across asset classes, including consumer loans, student loans, home improvement loans, small business loans, auto loans, solar loans and other financial assets, and regularly supports first-time issuers and underwriters in developing new securitization platforms and structures. She also regularly represents private equity sponsors and lenders in connection with consumer asset purchase transactions and related back-leverage financing facilities.
Sophie also advises on the structuring, formation and operation of onshore and offshore investment funds, including hedge funds, private equity funds and hybrid vehicles. Drawing on broad experience across capital markets and fund formation, she provides integrated advice to investment advisers, fund sponsors and investors on structuring, execution and ongoing product development.
Additionally, she is also a member of the firm's Blockchain and Digital Assets group, advising originators, issuers, and other market participants on the structuring and execution of innovative blockchain and digital asset transactions.
Sophie is actively involved in industry initiatives supporting the development of the structured finance market. She contributes to industry groups focused on securitization and fintechs and plays a leading role in advancing dialogue and best practices across the sector.
