Jack Andrew Kelly is a special counsel based in Cadwalader’s London office specialising in fund formation and impact investing.
Jack’s practice involves advising sponsors and asset managers on the structuring, formation and promotion of real estate funds (including REITs), credit funds, private equity funds, infrastructure funds and funds established to invest in emerging markets (including blended finance funds).
Jack has over a decade of experience advising on complex multi-jurisdictional fund structures and has expertise in both private funds and publicly listed investment companies. He also provides ongoing advice on secondary fundraising, fund restructures, implementation of debt facilities, fund mergers and acquisitions, secondaries and exits.
In addition to fund formation, Jack regularly advises institutional investors, pension funds and impact investors (including development finance institutions and multilateral financial institutions) in respect of their investment in funds.
IFLR has recognised Jack as a “Rising Star” in respect of Real Estate Funds (2024-2025), Private Equity Funds (2025) and Hedge Funds (2025). Legal 500 UK has named him as a Key Lawyer in Private Funds (2022-2024), Real Estate Funds (2023-2025) and Listed Funds (2025). Chambers UK has ranked Jack in its Investment Funds: Closed-ended Listed Funds category (2022-2026).
Jack obtained a Bachelor of Laws (First Class Honours) and a Bachelor of Business (International Business) from the University of Technology, Sydney. He is admitted to practice as a solicitor in New South Wales, Australia.
