Clay Talley is an associate in Cadwalader’s Finance practice. He has a diverse array of experience in finance gained from years in private practice, as an in-house counsel and, prior to becoming a lawyer, as a certified public accountant.

Clay represents administrative agents, lead arrangers and lenders across subscription-based lending finance transactions, including NAV-based facilities, hybrid facilities, umbrella facilities and various other types of fund financing facilities.  He assists in negotiating complex agreements, reviewing diligence documentation and various other items from the beginning life of the facility to termination. Many of these transactions include foreign jurisdictions and are multi-currency facilities.

In three of the past four editions of Best Lawyers, Clay has been cited among rising star lawyers in the publication’s “Ones to Watch” list for 2021, 2023 and 2024. He is a regular contributor to Fund Finance Friday, Cadwalader’s weekly, market-leading newsletter.

Prior to joining Cadwalader in 2021, Clay practiced at two notable, national firms, where he helped clients with their real estate needs, commercial lending and commercial mortgage-backed securities, including advising lenders on construction and other loans. Before private practice, Clay was an assistant vice president and claims counsel for Fidelity National Financial, where he gained valuable real estate and finance experience via complex civil litigation, title litigation, insurance coverage determination and criminal cases.

Clay received his J.D., cum laude, from University of Louisville Brandeis School of Law, where he served as the Articles Editor for the Law Review; and his B.S. from Lehigh University. He is admitted to practice in North Carolina, Kentucky and Texas. Prior to law school, Clay was a certified public accountant for a Louisville-based firm.
