Cadwalader Represents Senior Secured Lender Refinancing and Recapitalisation Transaction for Petra Diamonds

Cadwalader has represented the senior secured lender in the successful refinancing and recapitalisation of Petra Diamonds.

The transaction extends the maturity of Petra Diamonds’ senior secured revolving credit facility from January 2026 to December 2029 and its second lien notes from March 2026 to March 2030, amends their respective covenant packages, and introduces a novel payment-in-cash-or-equity mechanism.

As part of the broader recapitalisation, Petra Diamonds successfully completed a fully underwritten rights issuance of approximately £18.8 million to support the group’s long-term capital structure.
