Stephanie has over 20 years of experience in the capital markets. Her practice includes a wide variety of complex structured finance transactions and derivatives. She represents banks, dealers, and other institutions in connection with (i) secondary market municipal bond financing, (ii) CDO transactions, (iii) mortgage-backed securitization, (iv) asset-backed securitization, (v) catastrophe bond transactions, (v) aviation finance, (vi) railcar finance and (vii) project finance.

Stephanie received her B.A. magna cum laude from The University of Pennsylvania and received her J.D. from New York University School of Law, where she was an editor of the New York University Law Review. She is admitted to practice in the State of New York.

  • Representing a bank in connection with proprietary and third-party municipal tender option bond (TOB) programs.
  • Representing multiple banks as underwriter, placement agent, liquidity provider and remarketing agent for preferred shares issued publicly and privately by investment companies.
  • Acting as deal counsel for, or representing the collateral manager on, numerous market value, cash flow, mortgage and high yield debt CDO transactions. Representing a bank in a synthetic CDO transaction referencing credit default swaps.
  • Assessing the validity of a bank's claim that its law firm committed malpractice in drafting the waterfall provisions for three CDO transactions.
  • Acting as deal counsel for numerous catastrophe bond transactions.
  • Representing equity participants and lessees in numerous (i) international and domestic lease financings and (ii) purchases and sales of aircraft and railcars.
  • Acting as deal counsel for numerous public and private asset-backed securities transactions (auto loans, manufactured housing loans and equipment leases).
  • Representing developers and lender in project finance transactions, including several co- generation facilities.
  • Acting as deal counsel for, or representing the underwriter or financial guarantor on, numerous public residential mortgage-backed securities transactions.
  • Representing financial guarantors in effectuating the "put­back" of thousands of breaching loans included in residential mortgage-backed securities transactions.
  • Acting as deal counsel for the creation of pre-securitization secured warehouse credit facilities.
  • Acting as deal counsel for the creation of net interest margin certificate financing facilities.
  • Representing swap providers in residential mortgage-backed securities transactions. Representing credit enhancers, including six different investment banks and one financial guarantor, in numerous bespoke back-to-back municipal swap programs. Representing financial guarantor in connection with its insurance of swaps.
  • Representing an investment bank in structuring, and numerous issuances under, repackaging program.
  • Designing database to analyze a large bank's portfolio of credit default swaps.
