Shelby Gemmell is an associate in Cadwalader’s Leveraged Finance & Private Credit Group in London.

She focuses on leverage and acquisition financing advising investment banks, private debt funds, private equity sponsors and corporate borrowers on cross-border finance transactions.

Shelby received her Diploma in Professional Legal Practice and Law (Hons) (Scots) (LLB) from the University of Strathclyde, Glasgow.

Shelby is admitted to practice in Scotland.

  • Bridgepoint Credit and others on the Holdco PIK and senior secured facilities made available to Enhesa Group (CGE / Bregal).
  • Macquarie Principal Finance and other Private Credit fund lenders on the unitranche refinancing of Dukes Education.
  • Hanover Investors and Kalibrate Acquisition Limited on unitranche facilities made available to fund its dividend recapitalisation.
  • Marathon Asset Management on financing its acquisition of the Courtyard by Marriott Hotel in Edinburgh (a bolt on to its existing UK hotel portfolio funded by PIMCO).
  • Santander on financing the acquisition of Australia-based VeriSaaS by Altia (a NorthEdge backed software business) and the refinancing of a bridging facility with NorthEdge.
  • Londsdale Capital Partners on financing its acquisition of leading business software provider Infrata.
  • UK based oil and gas company Tailwind Energy on financing the acquisition of Decipher Energy and its North Sea assets.
  • Clydesdale Bank on financing the acquisition of the Abbey Hotel Bath (a Tribute Portfolio Hotel) by Castleforge Partners.
  • A variety of private funds clients (including Livingbridge, Actis, Partners Group, HarbourVest and BlackRock) on private funds matters including fund formation, structuring, closing and fund life-time related work.
  • Private funds and lenders on a variety of fund financing transactions including subscription line and GP/management fee facilities, working as co-counsel alongside leading City and international funds teams.
  • Axios Systems (a global provider of cloud-based ESM software) on its acquisition by IFS.
