Seb Brignell is a counsel in the Leveraged Finance Group, advising on private credit and leveraged finance transactions. He acts for credit funds, banks and sponsors on complex domestic and cross-border deals, with particular expertise in sponsor-backed acquisitions, direct lending and distressed situations. Seb has advised on a range of high-profile mandates, including major refinancings and numerous multi-jurisdictional direct lending transactions across Europe. He has also spent time on secondment at both HSBC's mid-market financial sponsors team and the European Direct Lending team at Ares.

Seb earned his LL.B. from King's College London and his Legal Practice Course from Kaplan Law.

  • Acting as counsel to a club of three direct lenders and three banks funding a sponsor-backed acquisition of a Germany-headquartered technology business.

  • Advising two credit funds in relation to the £280m refinancing of a regulated global financial services business.
  • Advising a UK-based sponsor on its acquisition of a UK-based renewables business.
  • Acting for a European private equity fund on the private credit financing package put in place to support its investment in a UK healthcare provider.
  • Advising a seven bank club funding the €220m cross-border merger of two leading specialist online retailers.
  • Advising an Asian bank on the provision of an emergency holdco PIK facility in relation to a UK sponsor's investment in a UK-based recruitment business.
  • Advising a UK clearing bank on an arrangement with affiliated funds to invest alongside the bank in leveraged finance transactions across Europe.
  • Advising a European private equity fund on the private credit financing package put in place to fund its acquisition of a care homes business.
  • Advising a European private equity fund on the financing aspects of its investment into a renewables business.
  • Advising various financial advisers in relation to cash confirmations in connection with UK public-to-private transactions.
  • Advising a number of direct lenders in relation to recapitalisations of businesses which were successful during the COVID-19 pandemic, facilitating options for sponsor exits months.
  • Advising a number of well-known British banks on their set up and management of the COVID-19 emergency loan schemes, as well as the making of numerous loans under those schemes as new transactions (including by way of additional tranches into existing leveraged structures.
  • Advising a global automotive company on its senior refinancing and other debt financing arrangements.
  • Advising a European credit fund on two separate debt/equity swaps as part of consensual enforcement processes in relation to two UK-headquartered businesses.
