Matt Stempler is a partner in the Corporate and Commercial Finance Group at Cadwalader. His principal practice involves the representation of commercial banks, investment banks, hedge funds and other financial institutions in a broad variety of secured and unsecured financing transactions, including working capital financings for operating companies and commodities marketing companies, term loan financings of fixed assets, NAV financings, acquisition financings, DIP financings, exit financings, account receivables discounting and distressed debt trading. 

Matt is also focused on innovation and emerging technologies impacting financing transactions. Matt’s writing on the topic includes “New UCC Article 12 Matters to More than Just Cryptocurrency”, published in The National Law Review, March 10, 2023.

Matt received his B.A., cum laude, from the University of Richmond and his J.D. from the University of Virginia, where he was an executive editor on the Virginia Tax Review. Matt is admitted to practice in North Carolina.

  • Representing MUFG Bank, Ltd. as administrative agent and collateral agent in a $1.5 billion revolving credit facility, comprising a $1.5 billion three-year committed tranche and a $1.0 billion one-year uncommitted tranche (with a $700 million accordion feature), for Freepoint Commodities LLC, a global commodities merchant of physical commodities.
  • Representing a global financial services company, as administrative agent, joint lead arranger, sole physical bookrunner and documentation agent in connection with a $800 million committed revolving credit facility, split into a $480 million one-year tranche and a $320 million two-year tranche (with a $300 million accordion feature), for one of the largest physical natural gas businesses in North America.
  • Representing a global supplier of engineered components and systems for the automotive industry in a $150 million term loan facility and $150 million working capital credit facility.
  • Representing MUFG Bank, Ltd. as administrative agent, collateral agent, bookrunner and lead arranger in a $4.540 billion senior secured uncommitted borrowing base revolving credit facility for Trafigura, one of the largest physical commodities trading groups in the world.
  • Representing a leading designer, manufacturer, and marketer of quality socks and legwear products in a $120 million working capital credit facility.
  • Representing Rabobank as administrative agent, book runner and lead arranger in a $110 million senior secured revolving credit facility (with a $90 million accordion feature) for affiliates of ARM Energy Services, a private energy marketing firm and one of the leading North American physical natural gas marketers, representing ARM Energy’s inaugural commodity finance borrowing base facility.
  • Representing a magnesium and lithium production company in a $120 million term loan and revolving credit facility.
  • Representing an international banking and wealth management group in connection with a multi-jurisdictional net asset value credit facility of €130 million for an investment fund managed by a leading private investment and asset management company.
  • Representing a large rack and engineered storage solutions company in a $40 million term loan and revolving credit facility.
  • Representing a leading global financial institution in a $300 million net asset value term loan made to an investment fund focused on mortgage-related assets.
  • Representing a global lead, copper and zinc producer in a $172 million term loan and working capital credit facility.
  • Representing a GSIB as agent and joint lead arranger in connection with a $215 million fleet financing and a $465 million unsecured parent revolving credit facility for a leading moving truck, trailer, and self-storage rental company.
