James Orth is an associate in Cadwalader’s Corporate & Financial Services Litigation & Regulation Group. James has experience handling a variety of complex commercial disputes for both plaintiffs and defendants in state and federal courts.  James’ diverse trial and appellate experience includes handling litigations arising from corporate control disputes and proxy contests, breach of fiduciary duty, corporate governance, breach of contract, and judicial foreclosure actions.  James also has experience in high-stakes mediations, arbitrations, and regulatory actions.

James received his J.D. from Boston University School of Law, where he graduated magna cum laude.

  • Represented Fortune 500 company in an action in the Supreme Court of New York to foreclose on an equity interest in a major airline.
  • Represented company seeking a preliminary injunction in the Supreme Court of New York to prevent foreclosure of its equity interest in a real property holding LLC.
  • Represented members of Delaware LLC in breach of fiduciary duty action against LLC manager, including through appeal in the Appellate Division of the Supreme Court of New York, First Department, and the Court of Appeals of New York.
  • Represented member of Delaware LLC in action to enforce books and records inspection demand in the Delaware Court of Chancery.
  • Defended technology company in multiple state court actions brought by its competitors.
