Andrew J. O’Brien advises public and private companies, private equity sponsors, management teams and senior executives on executive compensation and employee benefits matters in the context of complex business transactions. He supports clients on strategic mergers and acquisitions, leveraged buyouts and other transformative events.

His practice focuses on the design and implementation of executive employment arrangements, incentive compensation structures and non-qualified retirement programmes. Andrew also advises on senior executive hiring and departures, including negotiating employment, equity and separation arrangements in high-value transactions.

Andrew has worked on a range of high-profile transactions, advising leading private equity firms, corporates and management teams on the compensation and benefits aspects of complex deals, including acquisitions, disposals and sponsor-backed investments.

Andrew brings experience from both private practice and in-house environments, including time spent advising within a leading private equity firm, which informs his commercially focused and pragmatic approach.  Prior to law school, Andrew served in the U.S. Army 236th Medical Company (AA) as a Crew Chief on a MEDEVAC helicopter.
