Andrew Dibden is an associate in Cadwalader’s Tax Group in the London office. 

He has a broad range of transactional and advisory experience. He regularly advises financial institutions, private equity groups, sponsors, and public and private companies on a wide range of domestic and cross-border direct and indirect tax matters, focusing particularly on cross-border tax structuring and transactions including mergers and acquisitions, reorganizations, divestments, restructurings, financing transactions and securitisations.

Andrew is an Australian qualified solicitor and has advised clients both in the UK and Australia. Andrew has also acted for taxpayers in preventing and resolving tax disputes with HMRC and the Australian Taxation Office (ATO).

Recent examples of Andrew's experience include representing:

  • Apollo Global Management on its agreement to acquire Miller Homes, one of the UK’s leading homebuilders.*
  • Apollo Global Management on the acquisition of Dutch equipment leasing business Beequip from NIBC.*
  • Stonepeak on its agreement with the AA, the leading provider of roadside assistance services in the UK and a successful insurance business, and the AA’s majority shareholders, TowerBrook Capital Partners and Warburg Pincus. Per the agreement, Stonepeak will invest £450 million in the AA through a combination of common and preferred equity at an enterprise value of approximately £4 billion.*
  • CVC Credit as investment manager to various of its recent European CLO transactions, including Cordatus 25.*
  • Permira Credit as investment manager to its recent European CLO transactions including Providus VI and VII.*
  • Global asset manager DWS Group on the structuring of a consortium investment into a joint venture with Warner Bros. Discovery, as part of one of the largest and highest valued music rights deals.*
  • International Game Technology PLC on the UK tax aspects of the spinoff of its Global Gaming and PlayDigital businesses in a deal valued at approximately US$6.2 billion.*
  • Kuvare Asset Management on its US$1 billion acquisition and Kuvare UK Holdings on its US$ 250 million preferred equity investment, in both cases by asset manager Blue Owl Capital.*
  • Westfield in its acquisition of Argo Group’s Lloyd’s of London operations.*
  • EQT and Verdane on the tax and structuring aspects of the sale of Forsta (an industry-leading global provider of customer experience and market research technology) to Press Ganey.*
  • Atento in its successful UK restructuring plans.*
  • Westfield in its acquisition of Argo Group’s Lloyd’s of London operations. *
  • Pictet Alternative Advisors in its Acquisition of Pareto FM.*
  • Stanley Capital Partners on its investment in Roboyo.*
  • Recharge Industries, a portfolio company of Scale Facilitation, on its acquisition of Britishvolt Limited.*
  • Affiliates of WCAS and Managed Market Insights & Technology in connection with MMIT’s US$1.6 billion merger with Evaluate.* 

Andrew received his Graduate Diploma in Legal Practice from Australian National University and his LL.B. (Hons) from Bond University.
