Cadwalader’s Jason Halper and Sara Bussiere Present on ESG Governance, Disclosure, and Litigation at Legal 500 Disputes Summit

Jason Halper, co-chair of Cadwalader’s Global Litigation Group and the ESG practice, and senior associate Sara Bussiere, were featured speakers at the Legal 500 Law Summit, a one-day series of panel discussions examining today’s challenges and opportunities for in-house counsel. Halper and Bussiere were joined by Genie Cesar-Fabian, the General Counsel of Ethic, a tech-driven asset management platform that facilitates personalized sustainable equities portfolios for wealth advisors. 

Halper, Bussiere and Cesar-Fabian discussed best practices for directors and board committees in assessing enterprise-wide ESG risks and opportunities as well as the unique challenges confronted by asset managers, which require sufficient information from issuers in order to make informed investment decisions and to report to their investors on the sustainability profile of their portfolios. The panel discussed the benefits and challenges posed by the SEC’s proposed disclosure rule, especially in the context of the existing U.S. materiality standard, and the challenges posed by the inconsistent and at times conflicting global response from regulators concerning climate-related disclosures. The panel also discussed a number of additional corporate governance issues, including preparing for ESG activism, the role of DEI audits, and managing the politicization of and ”backlash” against ESG.
