Jake Lindsay is an associate in the Capital Markets Group in Cadwalader's London office.

Jake regularly advises financial institutions and companies on structured finance transactions, with a particular focus on complex multi-jurisdictional structuring and securitisation transactions. Seconded twice to Wells Fargo Bank (London Branch), he has a broad base of experience in asset based lending, asset finance and general banking matters.

He received a Bachelor of Commerce (B.Comm) degree from McGill University, a Bachelor of Laws (LLB) degree from the University of Leicester, and completed his Legal Practice Course (LPC) at BPP Law School, London. Jake qualified as a solicitor in England and Wales in 2010.

  • Several trade receivables securitisations (acting on the company side), including as drafting counsel: (a) in respect of a EUR 240m facility (originators in England, France, Germany); and (b) in respect of a EUR 175m facility (originators in Netherlands, Belgium, Austria, Italy).

  • Several trade receivables securitisations (acting on the bank/funding side) including: (a) as drafting counsel in respect of a EUR 200m securitisation (originators in England, France, Germany, Netherlands), (b) as counsel in respect of a global shipping receivables securitisation spanning numerous jurisdictions over North America, Europe and Asia; and (c) as drafting counsel in respect of a global agri-food facility.

  • Working in various capacities on securitisation and similar transactions across other asset classes including autos, credit cards, RMBS, etc.

  • Acting as drafting counsel for a US financial institution's London branch in arranging its first two European mid-market facility transactions (one EUR 130m, one USD 300m) and separately as drafting counsel for another global financial institution's EUR 500m mid-market European facility.

  • Acting as drafting and as review counsel for various structured fintech products/ transactions.
