Ngoc Pham Hulbig's practice focuses on counseling regarding U.S. and global premerger notification requirements. She has extensive experience in preparing filings under the Hart-Scott-Rodino Act and has coordinated competition filings around the world for complex and high-stakes transactions. She also counsels clients in the full range of antitrust matters, including mergers and acquisitions, joint ventures, and in connection with investigations by the U.S. Department of Justice and the U.S. Federal Trade Commission. Ngoc has experience representing clients in matters involving a wide variety of industries, including software, airlines, gaming, spirits, pharmaceuticals, chemicals, credit, financial services, and security.

Prior to joining Cadwalader, Ngoc was an associate at Fried, Frank, Harris, Shriver & Jacobson LLP in that firm's antitrust department. She served as a member of the Board of Directors of Ayuda, Inc., an organization dedicated to protecting the legal rights of low-income immigrants in the Washington D.C. metropolitan area. Ngoc's previous pro bono matters include guardian ad litem and political asylum cases.

Ngoc received her J.D., with honors, from the University of North Carolina at Chapel Hill and her B.A., cum laude, from Appalachian State University. She is admitted to the bar in the District of Columbia and New York.

  • Activist investor Bill Ackman’s Pershing Square Capital Management in its acquisition of a 9.9% stake in Chipotle Mexican Grill, Inc.
  • Microsoft in its $2.5 billion acquisition of Mojang and its Minecraft franchise.
  • Microsoft in its $8.5 billion acquisition of Skype, recognized as 2012 Merger Control Matter of the Year – Europe by Global Competition Review.
  • Microsoft in its acquisition of Nokia's handset business.
  • Microsoft in its acquisition of Havok 3D physics video game technologies from Intel.
  • Microsoft in its role in the acquisition of more than 6,000 patents from Nortel.
  • Microsoft in its purchase from AOL of more than 800 patents and related patent applications as well as a non-exclusive license to AOL's retained patent portfolio for $1.1 billion, and in the subsequent assignment of a significant portion of those intellectual property assets to Facebook Inc. for $550 million.
  • Microsoft in its acquisition of Yahoo!'s search business and subsequent partnership agreements with Yahoo!
