Cadwalader hosted its 6th Annual Girls in Finance Workshop for nearly 70 New York City high school girls at the firm's New York office earlier this week. Inspired by the “Girls Who Code” movement, the program is designed for student participants to gain hands-on exposure to elementary finance and investment concepts from women clients who are financial services professionals and attorneys in related practice areas.
In this week’s Fund Finance Friday, we will discuss the mechanics around an investor’s right to pre-fund all or a portion of its capital commitment (“Pre-Funding Investor”). In a subscription-based lending facility, a lender will lend against the unfunded capital commitments of a fund’s diverse investor pool composed of private equity funds, high-net-worth individuals, governmental entities and more. Some investors, such as tax-sensitive and governmental entities, may not want to participate in a subscription credit facility due to tax and other regulatory implications (e.g., a capital contribution linked to a financing may cause a tax-exempt investor to realize UBTI).
Nearly 500 financial industry leaders and professionals from around the country participated in Cadwalader's sixth annual Finance Forum in Charlotte yesterday. It was wonderful to return in person for a collective dialogue on the foremost issues facing the industry today, with respect to fund finance, leveraged finance, commercial real estate, middle-market lending, asset-based lending and structured finance.

This week, Women in Fund Finance introduced the first installment of its “Charlotte Conversation” series. The event featured a formidable panel of senior players in the fund finance industry who are all based in Charlotte. It was a great event, with interesting commentary from the panelists, and was followed by a networking reception at Charlotte’s Foundation for the Carolinas.
