Evan Carter is an associate in Cadwalader's Finance Group. His practice primarily focuses on the representation of commercial and investment banks, hedge funds and other alternative lenders, as well as private equity sponsors, portfolio company borrowers and high net worth individuals, in a variety of commercial lending transactions. These transactions consist of syndicated, club and bilateral bank loan financings, letter of credit financings and other credit support accommodations and concentrate on both the investment grade and leveraged finance markets, including large cap loans, middle market loans and loans for private clients and their trusts and estates. The purposes of these transactions vary and include working capital financings, bridge loan financings, acquisition financings and recapitalizations. Moreover, Evan’s practice ranges across a variety of secured and unsecured structures, such as asset based lending, covenant lite loans, first and second lien financings, mezzanine loans, capital call facilities, convertible notes and repurchase facilities. He has experience in non-performing contexts as well with out of court workouts, rescue financings and reorganizations. Evan has assisted clients with executing transactions across a number of sectors including commodities, funds, healthcare, manufacturing, REITs and technology. In connection with these transactions, he regularly advises on cross border arrangements with foreign borrowers and guarantors and foreign law governed security documents for a number of asset types in many different jurisdictions in the Americas and Europe.
Evan frequently represents asset managers, qualified market makers and other financial institutions in connection with participations, purchases and sales of par and distressed corporate debt, equity proceeds and swap claims in the secondary trading market using LSTA and customized documentation. He has contributed to trade newsletters for the firm regarding notable debtors in or emerging from bankruptcy, distressed industry trends and updates to loan market trading forms.
Evan received his J.D. from the University of Virginia School of Law. He was named an Anderson Scholar at the University of Florida, where he received a B.S. in Business Administration – Finance, as well as a B.S. in Sport Management.
