Aaron Benjamin's practice concentrates in fixed income transactions of all types, with a focus on project finance and structured finance as well as other innovative, limited-recourse secured lending transactions. In connection with the above, Aaron has extensive experience with secured transaction law, derivative products, and the federal securities laws. He also has experience with private equity financing of energy development and acquisitions and innovative off-balance sheet financing for a wide variety of financial products.

In project finance transactions, Aaron has experience representing project sponsors and project lenders. He has represented diverse lenders and borrowers in syndicated bank financings and pure private placements, including export credit agencies, bank lenders, insurance companies, and other financial institutions. In addition to extensive experience with financing documents of all types, Aaron has negotiated, drafted and conducted diligence reviews of EPC contracts, power purchase agreements, resource supply contracts, long-term service agreements, and other varied agreements essential to an energy and infrastructure financing.

In structured finance, Aaron has experience representing swap counterparties, collateral managers, and investment banks acting as underwriters, structuring agents, placement agents, and investors in a wide range of securitization and limited-recourse secured financing transactions, including CDO transactions, securitizations, and monetizations of financial and other assets, including trade receivables, mortgage servicing rights and oil and gas production payments. Aaron has extensive experience in all aspects of structured finance, acting as deal counsel for both collateral managers and investment banks in cash-flow securitization transactions backed by multi-sector ABS and transactions backed by commercial loans (using both broadly syndicated and mezzanine loans). Aaron's experience encompasses all aspects of a structured finance deal, from engagement and warehousing through to closing, including experience with complex issues such as revolving and delayed draw tranches, combination securities, principal-protected securities, principal-protected trusts, interest rate and foreign currency hedging agreements, credit default swaps, and total return swaps.

Aaron received his J.D. from the University of Toronto Law School and his undergraduate degree, with high honors, from Carleton University.

He is admitted to practice in the State of New York.
