Cadwalader, Wickersham & Taft LLP, a leading counselor to financial institutions and corporations, has been recognized by The American Lawyer with two 2014 Global Legal Awards — Global Finance Deal of the Year: Restructuring and Insolvency (Europe) and Global M&A Deal of the Year: Europe/Ireland. The awards will be presented at the Global Legal Awards dinner on September 15 in New York City.
The firm’s work in the restructuring of Central European Distribution Corporation (CEDC), a vodka producer based in Warsaw, Poland, was named Global Finance Deal of the Year: Restructuring and Insolvency (Europe). Advising the ad hoc committee of senior secured noteholders, Cadwalader, through a novel use of Chapter 11, restructured a group whose principal operations are in Poland, Russia, Ukraine and Hungary with no negative impact on the CEDC business. The Cadwalader team included partners Gregory Petrick, Richard Nevins, and Ingrid Bagby, and associates Alex Kay, Michele Maman and Oliver Dashwood-Quick.
Cadwalader also received the Global M&A Deal of the Year: Europe/Ireland for its representation of Elan Corporation, plc in its sale to Perrigo Company, plc in a cash and stock transaction valued at approximately $8.6 billion. The team was led by partners Christopher Cox and Gregory Patti, and associates Daniel Zimmerman, Marissa Morelle and Shawna-Gay White. Also advising on the transaction were partners David Miller and Richard Nugent on tax, Gregory Markel and Martin Seidel on litigation, special counsel Anne MacGregor and associates Ngoc Hulbig and Christian Lorenz on antitrust, and special counsel Shane Stroud on executive compensation.
