William Mills concentrates his practice in the area of corporate law, with emphasis on mergers and acquisitions, securities law, and corporate finance.  Mr. Mills represents clients in a wide-range of complex transactions, including mergers, acquisitions, divestitures, public and private securities offerings, proxy contests, spinoffs, restructurings, leveraged buyouts, tender offers, exchange offers, and joint ventures.  He also represents investment banks as financial advisors to transactions and advises listed public companies in the areas of corporate governance, crisis management, executive compensation, contractual negotiations, and general regulatory compliance.  Additionally, Mr. Mills advises hedge funds and other market participants with respect to their investments in public companies and strategies to maximize shareholder value.

Securities offerings in which Mr. Mills has acted as legal counsel include:  the initial public offerings of Ernst Home Centers and Cosi, Inc., follow-on offerings by Cosi, Inc. and Scientific Games Corporation, and numerous debt issuances by Pfizer Inc., The Bear Stearns Companies Inc. and the Dayton Power & Light Company, as well as Northwest Airline Corporation's rights offering.

Mr. Mills has authored several articles on issues relating to securities laws and mergers and acquisitions.

Mr. Mills received his A.B., cum laude, from Georgetown University and his J.D. from Fordham Law School where he was Notes and Comments Editor of the International Law Journal.  Mr. Mills is admitted to practice law in the States of New York and Connecticut as well as in the U.S. District Court for the Southern District of New York.  He is also a member of the American Bar Association and the Association of the Bar of the City of New York.
