Our leading global securitization practice handles public and private securitizations, advising clients on a broad range of transactions. The team handles complex securitization and structured finance transactions in addition to mainstream CMBS, CLOs, and ABS. Our practice has also played a vital role for clients in the residential mortgage-backed securities market as the non-agency RMBS market continues to rebound. We offer cross-border capabilities in subscription credit facilities and other fund finance products.
We represent domestic and international corporations, financial institutions and investors in all forms of complex corporate transactions, including mergers and acquisitions, spinoffs, shareholder activism preparedness and defense, takeover preparedness and defense, private equity, all forms of debt and equity finance and corporate governance and securities law.
Cadwalader advises lenders, borrowers and investors in all aspects of commercial real estate finance, including the origination of mortgage and mezzanine loans, construction loans, syndication, the sale of performing and non-performing loans, and restructurings and workouts. We also counsel administrative agents, agents and lenders in secured and unsecured syndicated and single-bank lending transactions, acquisition financings, commodity and other asset-based lending transactions, and distressed, debtor-in-possession and exit financings.

Joining a Practice
Upon joining the firm, associates are assigned to one of the firm's practice departments. Placements are made based upon the interests of the associate and the needs of the firm. We believe that focus is an essential ingredient for success. Therefore, we do not have a rotation program. However, our project-oriented practice results in matters being staffed by cross-disciplinary teams of lawyers. As a junior associate, a Cadwalader attorney can expect to work directly with the partner in charge of the matter, or in the case of large, complex matters, with a team of senior attorneys. Each department has at least one staffing partner who is responsible for matching an associate's availability and interests with new work assignments.
