Practice Areas

Cadwalader's practice areas offer the new attorney real opportunities and challenges. Once you settle into a department, there will be regular interaction with clients, attorneys and issues both inside and outside your area. Capital Markets
Our leading global securitization practice handles public and private securitizations, advising clients on a broad range of transactions. The team handles complex securitization and structured finance transactions in addition to mainstream CMBS, CLOs, and ABS. Our practice has also played a vital role for clients in the residential mortgage-backed securities market as the non-agency RMBS market continues to rebound. We offer cross-border capabilities in subscription credit facilities and other fund finance products.

Corporate
We represent domestic and international corporations, financial institutions and investors in all forms of complex corporate transactions, including mergers and acquisitions, spinoffs, shareholder activism preparedness and defense, takeover preparedness and defense, private equity, all forms of debt and equity finance and corporate governance and securities law.

Finance
Cadwalader advises lenders, borrowers and investors in all aspects of commercial real estate finance, including the origination of mortgage and mezzanine loans, construction loans, syndication, the sale of performing and non-performing loans, and restructurings and workouts. We also counsel administrative agents, agents and lenders in secured and unsecured syndicated and single-bank lending transactions, acquisition financings, commodity and other asset-based lending transactions, and distressed, debtor-in-possession and exit financings.

Financial Restructuring
Our team represents debtors, secured and unsecured lenders, bondholders, creditors’ committees, borrowers, asset purchasers and other distressed entities. We offer broad capabilities in transactions and litigation, developing bankruptcy sensitive products, and structuring deals to preserve and enhance value.

Financial Services
Clients depend on our expertise relating to statutory and regulatory requirements, including those governing broker-dealers, exchanges, banks, investment advisers and funds. We advises on OTC derivatives, structured products, hedge fund derivatives and hybrid transactions. Our team structures and develops investment products, funds, funds of funds; commodity pools; acquisition, venture capital, real estate and structured product funds; and investment advisers and management firms. We also counsel clients on issues affecting ERISA, executive compensation and benefits.

Health Care/Not-for-Profit

We counsel for-profit and not-for-profit entities in corporate transactions, corporate governance, finance, government regulation and compliance, Medicare and Medicaid, insolvency and restructuring, litigation, risk management, securities, capital markets and tax matters.

 

Global Litigation

The firm’s full-service, transatlantic litigation team handles all aspects of investigations, compliance and dispute resolution, including negotiation, mediation and arbitration.

Antitrust: advise on global merger control in US, UK and international transactions, including HSR and antitrust compliance and monitoring programs. Handle antitrust investigations and litigation before state, federal, European Commission and EU Member State regulators

Corporate and Financial Services Litigation and Regulation: counsel clients in M&A, corporate control and activism-related litigation; corporate control and corporate governance issues; complex securities, shareholder and derivative litigations; and insider trading, market manipulation and accounting fraud litigations and investigations

Energy Regulatory, Compliance and Enforcement: represent clients in complex litigation, regulatory and compliance matters before the US CFTC, FERC, FTC and DOJ in developed and developing energy markets

Intellectual Property: lead trials and litigation in complex patent and trade secret matters in federal courts, and in ITC and WIPO proceedings; enforce and defend claims; provide  expert opinions; secures rights; evaluates, sells, or licenses IP; and conducts due diligence

White Collar Defense and Investigations: handle significant civil, criminal and administrative disputes and enforcement actions in federal and state proceedings and litigation, as well as in congressional investigations and hearings; advise on corporate compliance and governance, internal investigations, audits of US and foreign operations and anti-corruptions laws, including US FCPA and UK Bribery Act

Tax & Private Wealth
Cadwalader’s tax group pioneers innovative tax structures that drive complex deals for US and non-US corporations and financial institutions. The private  wealth team provides personal, financial, charitable and tax planning for individuals and closely-held family companies.


Joining a Practice
Upon joining the firm, associates are assigned to one of the firm's practice departments. Placements are made based upon the interests of the associate and the needs of the firm. We believe that focus is an essential ingredient for success. Therefore, we do not have a rotation program. However, our project-oriented practice results in matters being staffed by cross-disciplinary teams of lawyers. As a junior associate, a Cadwalader attorney can expect to work directly with the partner in charge of the matter, or in the case of large, complex matters, with a team of senior attorneys. Each department has at least one staffing partner who is responsible for matching an associate's availability and interests with new work assignments.
