Cadwalader attorneys have extensive expertise in structuring and documenting a wide range of complex and innovative financings for public-private partnerships and other infrastructure financings. This expertise covers the many structures and issues involved in these financings, including tax-exempt or taxable debt, lease-based financings, concession agreements, acquisition finance, project and equipment finance, and secured real estate finance.
We have experience with innovative structures that include credit enhancement, investment and defeasance arrangements, insurance products, credit derivatives, and special purpose entities (SPEs), as well as a wide variety of federal, state and municipal loans, credit assistance or dedicated funding sources, private debt or equity, and a combination of derivatives and securitization techniques.
Our clients include commercial and investment banks, lenders, insurers and other credit enhancement or liquidity providers, swap providers, borrowers and issuers.
We are also leaders in designing private funds and investments, having represented numerous sponsors of, or investors in, large private funds that invest throughout the world. With experience in municipal finance, project finance, derivatives, private equity, securitization, tax, bankruptcy, real estate, corporate, mergers and acquisitions, and securities law, we are able to bring broad skills to any transaction. We also are familiar with the state constitutional and statutory issues that often arise in connection with public projects, the incurrence of debt by or on behalf of public entities, and the expenditure of public funds.
We are well-versed in dealing with our clients’ business needs and risk management concerns, budget constraints, and state-specific risks.
