Karen A. Dewis represents businesses in corporate and securities law matters, concentrating on mergers and acquisitions, strategic alliances, capital raising transactions, corporate governance, compliance and general corporate matters. With particular experience in the financial services, energy/commodities and general industrial sectors, her clients include Fortune 100 and 500 companies and leading financial institutions.

She advises both public and private companies in merger and acquisition transactions ranging from domestic mid-market transactions to multi-billion dollar multi-jurisdictional transactions. She also represents both issuers and underwriters in connection with all types of securities offerings ranging from initial public offerings of common stock to billion dollar public offerings of investment grade debt. In addition, her experience extends to advising on complex international restructuring and separation/spin-off transactions.

Karen also counsels clients on corporate governance, executive compensation and securities law compliance matters, including stock exchange rules, the governance and securities law compliance aspects of Dodd-Frank, the Sarbanes-Oxley Act and related regulations, and other state corporate and securities laws issues. She has been recognized by numerous independent commentators as a leading corporate advisor, including being named by Chambers USA as a leader in the field of Corporate Mergers & Acquisitions and by SmartCEO Magazine as among the Legal Elite in the Washington, D.C. area.

Karen received her B.A., magna cum laude, from the University of California-Los Angeles where she was elected to Phi Beta Kappa, her LL.B./J.D. from the University of Toronto Faculty of Law, and an LL.M. in Securities Regulation from Georgetown University Law Center. She is a member of the New York and District of Columbia bars.
